Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between OCM Asesorias SpA (RUT: 78.230.997-8), a Sociedad por Acciones (SpA) organized under the laws of Chile, with its principal place of business in Curicó, Maule, Chile ("Airsheet," "we," "us," or "our"), and you, the individual or entity accessing or using the Airsheet service ("User" or "you").

By accessing or using the Airsheet website, the Airsheet AI Agent service, or any related applications (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. The Service

Airsheet is an AI Agent that provides assistance and encourages critical thinking for AppSheet Creators, with features and access adapted to the specific subscription tier acquired by the User.

3. Eligibility and Account Access

3.1. Eligibility. The Service is available only to individuals who are at least 18 years old. By using the Service, you represent and warrant that you are at least 18 years of age.

3.2. Account Creation. You may create an account using third-party OAuth providers (Google or Microsoft). You agree to provide accurate and complete information and to keep your login credentials secure.

3.3. Account Security. You are responsible for all activities that occur under your account. You must notify us immediately at support@airsheet.dev if you suspect any unauthorized use of your account.

4. Subscription, Fees, and Payment

4.1. Pricing and Tiers. Access to the Service is provided via a Free Tier or various paid Monthly Subscription tiers (e.g., Mentor, Colleague, Developer). The features and data retention limits for each tier are detailed on the Airsheet website and in Section 6.3 below.

4.2. Payment Processing. All payments are processed by our third-party payment processor, FastSpring. By making a purchase, you agree to be bound by FastSpring's terms and conditions.

4.3. Auto-Renewal. All paid subscriptions are set to automatically renew at the end of the billing cycle. You will be notified before your subscription renews. You can cancel auto-renewal at any time via the in-app cancellation button.

4.4. No Refunds. All fees are non-refundable. OCM Asesorias SpA does not offer refunds for any reason, including partial months of service, subscription downgrades, or unused time.

5. Intellectual Property Rights

5.1. Airsheet IP. The Service, including all software, code, algorithms, trademarks, and underlying technology, is the exclusive property of OCM Asesorias SpA and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes.

5.2. User Content Ownership. You retain all ownership rights in the data, information, and content you upload, create, or generate using the Service ("User Content"). OCM Asesorias SpA does not claim ownership of your User Content.

5.3. License Grant to Airsheet. You grant OCM Asesorias SpA a limited, non-exclusive, royalty-free license to use your User Content solely for the purpose of operating, providing, and improving the Service to you, and for no other purpose (e.g., not for AI model training).

6. Prohibited Activities

You agree not to use the Service to: (a) violate any applicable law; (b) engage in scraping data or excessive API calls; (c) upload or transmit illegal, harmful, or abusive content; (d) share your login credentials with unauthorized users; (e) reverse engineer, decompile, or attempt to derive the source code of the Service; or (f) interfere with the security or integrity of the Service.

7. Termination and Data Retention

7.1. Cancellation by User. You may cancel your subscription at any time via the in-app cancellation button. Cancellation will take effect at the end of your current billing cycle.

7.2. Termination by Airsheet. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or engage in any prohibited activities.

7.3. Data Deletion Schedule. Upon cancellation or termination, your User Content (conversations) will be deleted according to the following schedule:

• Free Tier: User Content is deleted periodically and is not preserved.
• Mentor Tier: User Content is automatically deleted seven (7) days after creation.
• Colleague Tier: User Content is automatically deleted thirty (30) days after creation.
• Developer Tier: User Content is stored for an unlimited duration until manually deleted by the user.

7.4. User Account Retention. Your user account (login credentials) will not be removed unless you specifically request account deletion, to allow you to easily return to the Service.

8. Disclaimer of Warranties and Limitation of Liability

8.1. Disclaimer. The Service is provided on an "as is" and "as available" basis. OCM Asesorias SpA makes no warranties, express or implied, regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2. Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall OCM Asesorias SpA be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages. In all cases, the total aggregate liability of OCM Asesorias SpA for any claim arising out of or relating to these Terms or the Service, regardless of the form of the action, will be limited to the amount you have paid to OCM Asesorias SpA for the Service in the two (2) months preceding the date the claim first arose.

9. Governing Law and Dispute Resolution

9.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of Chile, without regard to its conflict of law principles.

9.2. Mandatory Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be finally settled by binding arbitration administered in Santiago, Chile, in accordance with the rules of the Arbitration and Mediation Center of the Santiago Chamber of Commerce. The language of the arbitration shall be Spanish or English, as mutually agreed.

9.3. Class Action Waiver. You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. You waive the right to participate in any class action or representative proceeding against Airsheet.

10. Changes to Terms

We may modify these Terms at any time. We will notify you of any material changes by email or through an in-app notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the new Terms.
